Acceptance of Terms
By accessing the platform, you agree to be bound by these Terms, our Privacy Policy, and all applicable laws. If you are an entity, the individual accepting represents authority to bind.
Eligibility & Account
You must be a qualified investor (accredited under Reg D), at least 18 years old. You are responsible for maintaining confidentiality of API keys and access credentials. Multi-factor authentication is mandatory.
Services & Fees
We provide portfolio management, execution, and analytics. Fees are disclosed in the Investment Management Agreement (IMA). All fees are net of any underlying fund expenses. Tiered fee schedules apply based on AUM.
Risk Disclosure
Digital asset investments involve significant risk, including volatility, liquidity risk, and regulatory uncertainty. Past performance does not guarantee future results. You acknowledge that you have read the offering memorandum and risk factors.
Intellectual Property
Our proprietary algorithms, risk models, and dashboard interfaces are protected by trade secret and copyright law. You may not reverse engineer or redistribute without written consent.
Limitation of Liability
To the maximum extent permitted by law, our liability is limited to the fees paid in the last 12 months. We are not liable for losses due to market events, force majeure, or third-party custody failures.
Dispute Resolution
Any disputes shall be resolved through binding arbitration under JAMS rules, in New York County. Class action waivers apply.
Termination
Either party may terminate with 30 days written notice. Upon termination, assets will be liquidated or transferred as per your instructions within 5 business days.
Amendments
We may revise these Terms with 30 days notice via email. Continued use constitutes acceptance.
